Licensing Terms

The Bill, Hillary & Chelsea Clinton Foundation (the “Foundation”) hereby grants to you a limited, worldwide, non-exclusive, non-transferable, non-commercial, royalty-free, license to use the Too Small to Fail (“TSTF”) Content in furtherance of your Campaign, subject to the following terms and conditions:

  1. Your use of the Content must adhere to the Community Campaign Guide (which can be found here);
  2. Any use of Content in a high-visibility manner (e.g., on billboards, in public service announcements, on signage on playgrounds, transportation, or any other public area), you must seek written approval from the Foundation by e-mailing [email protected] prior to using the Content;
  3. Framing or mirroring any portion of the TSTF sites must be approved in advance in writing from the Foundation;
  4. You must submit digital proof of any Content on t-shirts, onesies, blankets, towels, tote bags, stickers, bibs, magnets, placemats, buttons, postcards, or posters 18” x 24” or smaller to the Multimedia Submission Form prior to production; and
  5. You shall comply with the following quality standards for all products to ensure that the products are high-quality and manufactured in accordance with federal, state and local laws, and in a socially responsible manner.
      1. Your vendor(s) and supplier(s) shall: (i) meet all federal, state, and local fair labor standards; (ii) provide their employees and other workers with a safe and healthy work environment (including adequate ventilation, first aid supplies, fire exits and safety equipment, and an adequate number of toilets); (iii) adhere to all applicable environmental laws and regulations; and (iv) not engage in child labor, forced labor, slavery, or human trafficking.

You shall use best efforts to retain vendors and suppliers that use union laborers.

  1. Your products shall be manufactured using eco-friendly and non-toxic materials. You shall use best efforts to manufacture products using Green Seal-certified or bio-based materials, 100% cotton, where applicable, and water-based ink.
  2. You shall use best efforts to engage vendors and printers that will conduct one or more “press checks” to ensure the quality of the final product.
  3. You may copy, reprint, publish, reproduce or otherwise display materials containing Content, provided you attribute the Content to the Foundation and TSTF, provide a link, if applicable, to the appropriate TSTF site, do not use the Content for prohibited uses, and otherwise abide by the terms and conditions, including these licensing terms.
  4. You shall not use the Content for prohibited uses as follows. You are prohibited from using Content on any product that:
      1. endorses or opposes any political party or candidate for office;
      2. is used to solicit donations for you or any other entity;
      3. explicitly states that the Foundation or TSTF endorses you or any other entity, or your statements or positions;
      4. misrepresents your or any other entity’s affiliation with the Foundation or TSTF;
      5. is offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual(s);
      6. threatens, harasses or advocates harassment of another person;
      7. exploits people in a sexual or violent manner;
      8. contains nudity, violence, or offensive subject matter;
      9. infringes on a third party’s rights, including intellectual property rights;
      10. contains information that is false or misleading; or
      11. promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.

The foregoing list is not exhaustive, and the Foundation reserves the right to investigate and take appropriate legal action against anyone who, in the Foundation’s sole discretion, uses Content in an inappropriate or offensive manner. You agree to remove or recall, at your own expense, any product bearing Content, in any location, that the Foundation, in its sole discretion, determines constitutes prohibited use of the Content.

  1. You shall not create or otherwise use or publish works that are derivative or otherwise exploit Content.
  2. The Foundation, at its sole discretion, may revoke your license to use Content at any time.

 

Defined Terms:

  1. Campaign” means any local or state campaign focused on early brain and language development that adheres to the guidelines set forth in the document titled “Community Campaign Guide,” annexed herein as Exhibit B.
  2. Content” means any content, functionality or services offered through any Too Small to Fail sites and any products or creative design materials designed by Too Small to Fail related to your Campaign.
